General Terms

1. Permitted Uses of Our Site and Content

All Content on our Site, such as text, graphics, images, audio, video and other material, as well as the underlying html source code of the Web Site (“Material”) are the intellectual property of Education-IndustryONE or other parties, and is protected by copyright and other intellectual property law, and are owned or controlled by Education-IndustryONE or by third parties that have licensed their Material to Education-IndustryONE. USER SPECIFICALLY ACKNOWLEDGES THAT EDUCATION-INDUSTRYONE IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH USER.

6. Disclaimers of Certain Damages

IN NO EVENT SHALL EDUCATION-INDUSTRYONE AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THIS WEB SITE, THE DELAY OR INABILITY TO USE THIS WEB SITE, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THIS WEB SITE, OR OTHERWISE ARISING OUT OF THE USE OF THIS WEB SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF EDUCATION-INDUSTRYONE OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. EDUCATION-INDUSTRYONE DOES NOT ENDORSE, SUPPORT, REPRESENT OR GUARANTEE THE TRUTHFULNESS, ACCURACY, OR RELIABILITY OF ANY USER CONTENT OR ENDORSE ANY OPINIONS EXPRESSED BY USERS. EACH USER ACKNOWLEDGES THAT ANY RELIANCE ON USER CONTENT POSTED BY OTHER USERS WILL BE AT HIS/HER SOLE RISK.

7. Registration

To gain a greater level of access, User must be authorized by Education-IndustryONE and then once authorized, the User will select a password, and be assigned an ID number. Each User is expressly prohibited from using another User’s ID without such person’s authorization. Failure to comply with the foregoing shall constitute a breach of this Agreement, which may result in immediate termination of that User’s authorization. Each User shall be solely responsible for maintaining the confidentiality of their password.

Each User shall notify Education-IndustryONE of any known or suspected unauthorized use(s) of his/her account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of his/her confidential information.

8. Communication

Education-IndustryONE reserves the right to send User’s electronic mail for the purpose of informing Members of changes or additions to the Web Site, this Agreement and any other service provided by Education-IndustryONE.

9. Indemnity

User agrees to defend, indemnify, and hold harmless Education-IndustryONE, its officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from any use of the Web Site and any Material contained therein by User or through User’s account, or by User’s breach of the terms of this Agreement. Education-IndustryONE shall provide notice to User promptly of any such claim, suit, or proceeding and shall assist User, at User’s expense, in defending any such claim, suit or proceeding. Education-IndustryONE reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by User.

SPECIFIC TERMS

Education-IndustryONE is committed to maintaining User privacy. Education-IndustryONE does, however, gather certain information that User provides to the Web Site. Education-IndustryONE believes that by collecting this information Education-IndustryONE is able to provide User with a personalized web experience, and to assist its own marketing team and advertisers in efficiently reaching an appropriate audience. The information Education-IndustryONE requests, is the minimum we believe necessary to achieve this goal. 2. Submissions and Prohibitions Section

User hereby waives all copyright, moral rights and any other right to any User Content which he/she submits, and grants to Education-IndustryONE a royalty-free perpetual irrevocable non-exclusive right and license to use, reproduce, modify adapt, publish, translate perform, display and distribute such User Content, in whole or in part, worldwide and/or to incorporate it in other works in any form, media or technology now known or hereinafter developed for the full term of any copyright in such User Content, and to sublicense such rights through multiple tiers of sublicenses. User also hereby grants all other Users the right to copy, download and store his/her User Content for User’s personal use. Education-IndustryONE does not control User Content. Education-IndustryONE has the right but not the obligation to monitor submissions by Users, and reserves the right to modify, move or remove any User Content at any time and for any reason in its sole discretion, as well as the right to terminate User access to the Website for any reason in its sole discretion including, without limitation, foul language, attempted commercial use of the Web Site, threats, discriminatory, racist or abusive language, or any behavior which is deemed objectionable by Education-IndustryONE. Users are responsible for their own communications and are solely responsible for the consequences of posting any User Content. Education-IndustryONE has the right (but not the obligation) to monitor this Site for any unauthorized or objectionable conduct and to take all appropriate actions in response, without notice to user. Education-IndustryONE also reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Education-IndustryONE ‘s sole discretion.

3. No Offer or Advice

The Content is provided for informational purposes only and does not constitute an offer to sell or buy any securities and may not be used or relied upon in connection with any offer or sale of securities. 5. Governing Law/Forum

All legal issues arising from or related to the use of the Web Site shall be construed in accordance with and determined by the laws of the State of California applicable to contracts entered into and performed within the State of California, without respect to its conflict of laws principles. By using the Web Site, User agrees that the exclusive forum for any claims or causes of action arising out of User’s use of the Web Site shall be either any state court for or within Los Angeles County in the State of California and the United States District Court for the Southern District of California. If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term. This Agreement constitutes the entire Agreement between User and Education-IndustryONE with respect to the use of Web Site. Any changes to this Agreement must be made in writing, signed by an authorized representative of Education-IndustryONE. The section headings used herein are for convenience only and shall not be given any legal import. User agrees that any cause of action User may have with respect to User’s use of the Site must be commenced within one year after the claim or cause of action arises or will be deemed to have been waived.

6. Password and Security Notification

Certain areas of the Site are password protected and are only accessible to those who have a valid Education-IndustryONE-issued password. User may not attempt to access any password protected areas of the Site without authorization. In the event that User have been issued such a password, User acknowledge and agree that Education-IndustryONE has granted User limited access to specific files pertaining to information relevant to User, and User agree not to attempt to access other computer files. Accordingly, user should take steps to protect the confidentiality of User’s password. User should notify Education-IndustryONE immediately if User becomes aware of any disclosure, loss, theft or unauthorized use of User’s password.

7. Disclaimer and Indemnity

Education-IndustryONE and its officers, directors, managers, partners, members, shareholders, employees, affiliates and agents (collectively “Related Persons”) make no representations or warranties of any kind, express or implied, as to the accuracy, reliability, completeness, availability or other characteristics of the information or materials presented on the Site. Such information or materials are provided “as is” and “as available” and, to the fullest extent permissible pursuant to applicable law, Education-IndustryONE specifically disclaims any and all warranties of any kind, express or implied, including but not limited to all warranties of and conditions of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy or completeness. Education-IndustryONE does not warrant that the information in this Site is accurate, reliable or correct, that this Site will be available at any particular time or location, or that this Site is free of viruses or other harmful components. Decisions based on information or materials contained on the Site are the sole responsibility of the user, and as consideration for access to the Site, User agree to indemnify and hold harmless Education-IndustryONE and its Related Persons from and against any claims whatsoever and of any nature for damages, losses and causes of action, including but not limited to actions by third parties against User, Education-IndustryONE or any of its Related Person, arising out of or in connection with any decisions that User make based on such information or materials, Userr use of the Site, or Userr violation of our website policies. User also agree to indemnify and hold harmless Education-IndustryONE and its affiliates and their employees, agents and representatives from any and all liabilities, damages, losses, claims, expenses and fees resulting from Userr violation of our website policies.

8. Integration and Severability; Waiver

This Agreement represents the entire agreement between Education-IndustryONE and the User relating to the subject matter herein. If, for any reason, a court of competent jurisdiction finds any provision in this Agreement to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to affect the intent of this Agreement, and the remainder shall continue in full force and effect.
No waiver by Education-IndustryONE of any right under or term or provision of this Agreement will be deemed a waiver of any other right, term, or provision of this Agreement at that time or a waiver of that or any other right, term, or provision of this Agreement at any other time.
